Beta Terms and Investor Access Agreement

This Beta Terms and Investor Access Agreement ("Agreement") governs your access to and use of the beta version of the ArchiRef platform, website, and related services (collectively, the "Service").
By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you are accessing the Service on behalf of a company or other legal entity, you represent and warrant that you are authorized to bind that entity, and "you" and "your" will refer to that entity.
If you do not agree to this Agreement, you may not access or use the Service.
1. Private Beta and Investor Evaluation Use Only
1.1 Private Beta
The Service is provided on a private beta basis for limited testing, evaluation, and feedback. It is not a generally available commercial product, and may contain bugs, defects, and incomplete features.
1.2 Investor Access
If you are accessing the Service as an investor or potential investor, you may use the Service solely to evaluate ArchiRef and our company as a potential investment opportunity. You may not use the Service or any related information to build, support, or advise a competing product or service.
1.3 No General Availability
We are under no obligation to release a commercial version of the Service, and features available during the beta may be modified, restricted, or removed at any time without notice.
2. Account Registration and Access Control
2.1 Invitation Only
Access to the Service is by invitation only. You may not share, sell, transfer, or sublicense your access credentials or invitations without our prior written consent.
2.2 Account Responsibility
You are responsible for:
- maintaining the confidentiality of your login credentials; and
- all activities that occur under your account.
You agree to notify us immediately of any unauthorized access, use, or suspected breach of security.
2.3 Access Monitoring
You acknowledge and agree that we may log and monitor access to the Service, including IP address, login timestamps, and usage patterns, for security, analytics, and product improvement purposes.
3. Permitted Use and Restrictions
3.1 Limited License
Subject to this Agreement, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service only for:
- internal evaluation and testing; and
- investment due diligence, if you are an investor or potential investor.
3.2 Prohibited Uses
You agree not to:
- Scrape or harvest data from the Service, including through bots, crawlers, or automated scripts, except as expressly permitted in writing by us.
- Copy, download, export, or reproduce the database, project listings, architectural references, or any substantial part of the Service.
- Reverse engineer, decompile, disassemble, or attempt to derive the source code, algorithms, models, or database structure, except to the extent such restriction is prohibited by applicable law.
- Use the Service to develop, train, validate, or improve any competing product, service, or dataset.
- Bypass or attempt to bypass any security, access control, or rate-limiting mechanisms.
- Use the Service for any unlawful purpose or in violation of any applicable law, regulation, or third-party rights.
3.3 Rate Limits and Technical Controls
We may impose reasonable technical limitations on the number of requests, searches, or data views per account or per IP address, and may block or throttle access that appears abusive or automated.
4. Intellectual Property and Ownership
4.1 Service IP
The Service, including but not limited to software, code, user interfaces, designs, compilations, databases, structures, workflows, and all improvements thereto, is and will remain the exclusive property of us and our licensors.
4.2 Content and Database Rights
All rights, title, and interest in and to:
- the curation, selection, arrangement, and classification of projects;
- any original descriptions, commentary, tags, or metadata authored by us; and
- any diagrams, visualizations, or other original output created by or through the Service
are owned by us, subject to any third-party rights in underlying materials.
4.3 Third-Party Content
The Service may display or reference third-party content (including, without limitation, images, text, and project descriptions). Such content remains the property of its respective owners and is provided solely for informational and educational purposes. You may not copy, redistribute, or exploit such content except as permitted by applicable law or with the relevant owner's permission.
4.4 No Implied Rights
Except for the limited license expressly granted in Section 3.1, no other rights or licenses (whether by implication, estoppel, or otherwise) are granted to you under any intellectual property rights of us or our licensors.
5. Confidentiality
5.1 Confidential Information
You acknowledge that the Service, including its design, functionality, architecture, and non-public documentation, as well as any non-public information about us and our business plans, financials, or roadmap, constitute confidential and proprietary information ("Confidential Information").
5.2 Obligations
You agree to:
- keep all Confidential Information strictly confidential;
- use it solely for your internal evaluation or investment assessment; and
- not disclose it to any third party, except to your employees, contractors, or advisors who have a strict need to know and who are bound by confidentiality obligations no less protective than those in this Agreement.
5.3 Exclusions
Confidential Information does not include information that:
- is or becomes publicly available through no fault of yours;
- was lawfully known to you prior to disclosure by us;
- is independently developed by you without use of or reference to the Confidential Information; or
- is lawfully received from a third party without restriction on disclosure.
5.4 Competing Use
You agree not to use the Confidential Information (including your access to the Service) to create, support, advise, or enhance any product or service that competes, directly or indirectly, with ArchiRef or our business.
6. Feedback
6.1 Feedback License
If you provide any suggestions, feedback, ideas, or recommendations regarding the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable right and license to use, reproduce, modify, incorporate, and otherwise exploit such Feedback without any obligation or compensation to you.
6.2 No Obligation to Use
We are not obligated to implement or use any Feedback.
7. Beta Disclaimer, No Warranties
7.1 Beta Nature
YOU ACKNOWLEDGE THAT THE SERVICE IS A BETA OR PRE-RELEASE VERSION AND IS PROVIDED FOR TESTING AND EVALUATION PURPOSES ONLY.
7.2 No Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
7.3 No Guarantees
WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED, NOR THAT THE CONTENT OR RESULTS OBTAINED THROUGH THE SERVICE WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR USE.
8. Limitation of Liability
8.1 Exclusion of Certain Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
8.2 Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT OR YOUR USE OF THE SERVICE WILL NOT EXCEED ONE HUNDRED (100) EURO OR, IF HIGHER, THE AMOUNT YOU HAVE ACTUALLY PAID (IF ANY) TO US FOR ACCESS TO THE SERVICE DURING THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
8.3 Essential Basis
You acknowledge that these limitations of liability are an essential basis of the bargain between the parties and will apply even if any limited remedy fails of its essential purpose.
9. Term and Termination
9.1 Term
This Agreement commences on the date you first access the Service and continues until terminated in accordance with this Section.
9.2 Termination by You
You may stop using the Service at any time. If you wish to close your account, you may contact us at support@archiref.ai.
9.3 Termination by Us
We may suspend or terminate your access to the Service, or terminate this Agreement, at any time, with or without cause, and with or without notice.
9.4 Effect of Termination
Upon termination:
- the license granted to you under this Agreement will immediately cease; and
- you must cease all access to and use of the Service and any Confidential Information.
Sections 4–9 and 11–12 (and any other provisions intended to survive) will survive termination.
10. Data and Privacy
10.1 Usage Data
We may collect and process technical and usage data relating to your use of the Service (including log data, IP addresses, device/browser information, and interactions within the Service) for security, analytics, and product improvement purposes.
10.2 Personal Data
Any personal data processed in connection with the Service will be handled in accordance with our Privacy Policy.
11. Governing Law and Dispute Resolution
11.1 Governing Law
This Agreement will be governed by and construed in accordance with the laws of the European Union, without regard to its conflict-of-laws principles.
11.2 Jurisdiction
You agree that any dispute arising out of or relating to this Agreement or the Service will be subject to the exclusive jurisdiction of the courts located in the EU.
12. Miscellaneous
12.1 Entire Agreement
This Agreement constitutes the entire agreement between you and us with respect to the beta use and investor access to the Service and supersedes all prior or contemporaneous understandings, whether written or oral.
12.2 Amendments
We may update or modify this Agreement from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after any such changes constitutes your acceptance of the updated Agreement.
12.3 Severability
If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
12.4 No Waiver
The failure of us to enforce any right or provision of this Agreement will not be deemed a waiver of such right or provision.
12.5 Assignment
You may not assign or transfer this Agreement, by operation of law or otherwise, without our prior written consent. We may freely assign this Agreement without restriction.
